Terms of Service

Booking conditions, studio policies, audio deliverables, and guidelines governing Lit Factory NYC services and website.

These Terms of Service (“Terms”) govern your use of the website https://litfactory.nyc and any recording, production, vocal, mixing, remix, or instruction services provided by Lit Factory NYC (“we,” “our,” or “us”) in Greenpoint, Brooklyn. By visiting this site or requesting a session, you agree to comply with and be bound by these Terms.

1. Studio Sessions & Appointments

Lit Factory NYC is a private, working production and recording facility. All sessions operate under the following policies:

  • By Appointment Only: Studio visits, recording sessions, and listening appointments are scheduled in advance. Walk-ins are not accommodated.
  • Engineer-Operated Sessions: Every booking includes hands-on engineering and session operation by Lit Factory NYC (Noam Rubinstein). There is no unattended or unassisted room rental; the engineer runs the console, outboard signal path, and session files throughout the booked hours.
  • Arrival & Studio Address: To maintain client privacy and security, the exact street address, transit notes, and arrival protocol are provided privately upon confirmed booking.

2. Deposits, Bookings & Payments

Studio dates and production time are reserved upon completion of the following payment terms:

  • 50% Deposit: A deposit of 50% of the total estimated session fee is required to reserve studio dates on our calendar.
  • Balance Due: The remaining 50% balance is due seven (7) days prior to the first scheduled session date.
  • Payment Methods: Accepted payment methods and invoicing details are confirmed in writing during the booking consultation.

3. Rescheduling & Cancellations

Studio calendar time is held exclusively for your project once booked:

  • 72-Hour Notice for Rescheduling: You may reschedule your session one (1) time with no penalty, provided written notice is submitted at least seventy-two (72) hours prior to the session start time. Rescheduled dates are subject to calendar availability and must occur within thirty (30) days of the original date.
  • Late Cancellations & No-Shows: Sessions cancelled less than seventy-two (72) hours in advance, or sessions missed without prior notice, will forfeit their deposit payment to offset reserved studio time and engineer preparation.

4. Files, Deliverables & Archiving

We take pride in orderly session delivery and clear handoffs:

  • Delivery: Stems, rough bounces, or final mix files are delivered in standard industry formats (e.g. 24-bit WAV files) upon conclusion of the session or mix timeline. Full settlement of all session invoices is required prior to release of final multi-tracks and masters.
  • 30-Day Archival Window: Lit Factory NYC retains session recordings and DAW projects on local drives for thirty (30) days post-delivery. After 30 days, we are under no obligation to maintain backup copies. Clients are responsible for downloading, inspecting, and archiving their deliverables immediately upon delivery.

5. Intellectual Property Rights

Ownership of musical works is clear and standard:

  • Client Compositions & Masters: Subject to payment in full of all fees, the client retains 100% ownership of their musical compositions, lyrics, performances, and resulting master sound recordings created during booked studio sessions.
  • Production & Remix Agreements: If a project involves original production, remixing, or songwriting contribution, any royalty splits, producer points, or songwriting credits are defined in a separate written agreement prior to commercial exploitation.
  • Studio Brand Assets: All website materials, photographs, logos, copy, audio samples, and identity designs on https://litfactory.nyc are owned by Lit Factory NYC and protected under copyright and trademark law.

6. Studio Care & Conduct

Lit Factory NYC maintains high-end analog outboard equipment, synthesizers, acoustic instruments, and vintage microphones:

  • Clients and their guests agree to treat the studio space and equipment with professional care.
  • Any physical damage caused to studio microphones, outboard gear, instruments, speakers, or facilities resulting from gross negligence, reckless behavior, or willful misconduct by a client or their invited guests will be the financial responsibility of the booking client.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Lit Factory NYC shall not be held liable for any indirect, consequential, special, or incidental damages resulting from your use of the website or participation in studio sessions. Our total aggregate liability under any claim arising out of these Terms or studio services shall not exceed the total fees paid by you for the specific session in question.

8. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising under or in connection with these Terms shall be submitted exclusively to the state or federal courts situated in Kings County (Brooklyn), New York.
